By accessing our website at inferova.com or using any of our products and services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. Definitions

• "Website" refers to inferova.com and all its pages.
• "Products" refers to all software products and services offered by Inferova, including but not limited to Inferova Parse, Hariyaalee, Inferova Sonics, Inferova Skills, Inferova LLM Studio, Dukaan360, and any future products.
• "User," "you," or "your" refers to any individual or entity accessing the Website or using our Products.
• "Content" refers to all text, images, code, data, designs, documentation, and other materials on the Website or within the Products.
• "User Data" refers to any data, documents, files, or information that you upload, submit, or process through our Products.

2. Eligibility

You must be at least 18 years of age to use our Website and Products. By using our services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using our Products on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Use of the Website

3.1 Permitted Use

You may use the Website to learn about our Products, contact us through the contact form, explore career opportunities, and access publicly available information about Inferova.

3.2 Prohibited Use

You agree not to:

• Use the Website for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to any part of the Website, its servers, or any systems connected to the Website
• Use automated tools (bots, scrapers, crawlers) to access, scrape, or index the Website without our prior written consent
• Interfere with or disrupt the integrity or performance of the Website
• Transmit any malware, viruses, or harmful code through the Website
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use the contact form to send unsolicited commercial messages, spam, or bulk communications

4. Products and Services

4.1 Product Availability

Inferova offers a portfolio of AI-powered software products. The availability, features, and pricing of individual Products may change at any time. Product descriptions on the Website are for informational purposes and may not reflect the most current version or capabilities of a Product.

4.2 Separate Product Agreements

Use of specific Products may be governed by additional terms, service level agreements, or subscription agreements entered into separately between you and Inferova. In the event of a conflict between these Terms and any product-specific agreement, the product-specific agreement shall prevail for that Product.

4.3 Free Trials and Beta Products

We may offer free trials or beta access to certain Products. Free trials and beta products are provided "as is" without any warranties or service level commitments. We reserve the right to modify, suspend, or discontinue any free trial or beta product at any time without notice.

5. AI Products Disclaimer

5.1 Nature of AI Outputs

Our Products use artificial intelligence and machine learning technologies. AI-generated outputs — including but not limited to extracted data (Parse), disease detection results (Hariyaalee), voice agent responses (Sonics), transaction records (Dukaan360), and model outputs (LLM Studio) — are probabilistic in nature and may contain errors, inaccuracies, or omissions.

5.2 Not a Substitute for Professional Judgment

AI outputs from our Products are intended to assist and augment human decision-making, not replace it. Specifically:

• Inferova Parse: Extracted data should be verified before use in financial, legal, or regulatory processes. Parse does not provide financial, legal, or compliance advice.
• Hariyaalee: Plant disease detection and treatment recommendations are informational and should be verified by a qualified agronomist. Hariyaalee does not replace professional agricultural advice.
• Inferova Sonics: Voice agent responses are generated by AI and may not always be accurate or appropriate. Critical business decisions should not rely solely on voice agent interactions.
• Dukaan360: Voice-recognized transactions and inventory updates are generated by AI and may not always be accurate. Users should verify records before finalizing billing or stock changes.
• Inferova LLM Studio: Fine-tuned models inherit limitations of their training data. Outputs should be reviewed for accuracy before use in production environments.
• Inferova Skills: Third-party skills available on the marketplace are provided by their respective publishers. Inferova does not guarantee the accuracy or reliability of third-party skills.

5.3 No Guarantee of Accuracy

While we strive for high accuracy in our AI Products, we do not guarantee that any output will be error-free, complete, or suitable for any particular purpose. You are solely responsible for evaluating and verifying the suitability of AI outputs for your use case.

6. User Data

6.1 Your Data, Your Ownership

You retain all ownership rights in the data you upload or process through our Products. We do not claim any ownership over your User Data.

6.2 License to Process

By uploading data to our Products, you grant Inferova a limited, non-exclusive license to process, store, and transmit your data solely for the purpose of providing the Product functionality you have requested. This license terminates when you delete your data or your account.

6.3 Data Processing

We process your data in accordance with our Privacy Policy. For Products that offer on-premise deployment, data processing occurs within your own infrastructure and does not pass through our systems.

6.4 Prohibited Content

You agree not to upload, process, or transmit through our Products any data that:

• You do not have the right to process or share
• Violates any applicable law, regulation, or third-party right
• Contains illegal content or is used to facilitate illegal activities
• Contains malware, viruses, or harmful code

7. Intellectual Property

7.1 Our Intellectual Property

All content on the Website and within our Products — including but not limited to software, text, graphics, logos, trademarks, trade names (including "Inferova," "Parse," "Hariyaalee," "Sonics," "Skills," "LLM Studio," "Dukaan360"), icons, images, designs, AI models, algorithms, and documentation — is the property of Inferova Technologies Private Limited or its licensors and is protected by applicable intellectual property laws, including copyright, trademark, and patent laws of India and international treaties.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for its intended purpose. This license does not include the right to:

• Copy, modify, distribute, or create derivative works from the Website content
• Reverse engineer, decompile, or disassemble any software within our Products
• Use our trademarks, logos, or branding without prior written consent
• Use our AI models, training data, or algorithms for purposes other than through the Products as intended

7.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding our Products, you grant us an unrestricted, irrevocable, non-exclusive, royalty-free license to use, modify, and incorporate such feedback into our Products without any obligation to you.

8. Payments and Pricing

Pricing for our Products is as displayed on the Website or as communicated in a separate agreement. All prices are in Indian Rupees (INR) unless otherwise stated. Prices are exclusive of applicable taxes (including GST) unless explicitly stated otherwise. We reserve the right to change pricing at any time, with prior notice for existing subscribers as specified in the applicable product agreement.

9. Third-Party Services

Our Website and Products may integrate with or contain links to third-party services, websites, or tools. We do not endorse, control, or assume responsibility for any third-party services. Your use of third-party services is governed by their own terms and privacy policies. Specifically, the Inferova Skills marketplace may include skills published by third-party developers — use of such skills is at your own discretion and risk.

10. Limitation of Liability

10.1 Disclaimer of Warranties

The Website and Products are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, Inferova disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI outputs.

10.2 Limitation

To the maximum extent permitted by applicable law, Inferova shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or business opportunities
• Crop loss or agricultural damage based on Hariyaalee recommendations
• Financial loss arising from incorrect data extraction by Parse
• Damages arising from voice agent interactions through Sonics
• Loss or corruption of data processed through any Product
• Business interruption or downtime

In no event shall our total aggregate liability exceed the amount paid by you to Inferova in the twelve (12) months preceding the claim, or Ten Thousand Indian Rupees (INR 10,000), whichever is greater.

10.3 Essential Purpose

The limitations in this section apply even if any remedy fails of its essential purpose and regardless of the theory of liability (contract, tort, strict liability, or otherwise).

11. Indemnification

You agree to indemnify, defend, and hold harmless Inferova, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Website or Products
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your User Data or your use of AI outputs in your business operations
• Any third-party claim arising from your use of our Products

12. Termination

We may suspend or terminate your access to the Website or any Product at any time, with or without cause, and with or without notice. Upon termination, your right to use the Website and Products ceases immediately. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall survive.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. For material changes, we will make reasonable efforts to notify you (such as through a notice on the Website). Your continued use of the Website or Products after any modification constitutes your acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

14.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably through good-faith negotiation between the parties for a period of thirty (30) days. If the dispute is not resolved through negotiation, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, and the seat of arbitration shall be Gautam Budh Nagar, Uttar Pradesh, India. The language of arbitration shall be English.

14.3 Jurisdiction

Subject to the arbitration clause above, the courts at Gautam Budh Nagar, Uttar Pradesh, India shall have exclusive jurisdiction over any matters not subject to arbitration.

15. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy and any product-specific agreements, constitute the entire agreement between you and Inferova regarding the subject matter herein.
• Severability: If any provision of these Terms is held to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure: Inferova shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, acts of government, pandemics, internet outages, or infrastructure failures.
